1. Acceptance of Terms

By registering for, accessing, or using the AutomateIt platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. The Platform is operated by Rockybits Technologies Ltd ("we," "our," or "us"), a company registered in Lagos State, Nigeria.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

AutomateIt is an AI-powered WhatsApp Business automation platform that enables businesses to deploy automated AI customer service agents, sync broadcast templates, build conversational flows, and execute business actions.

As a verified Meta WhatsApp Tech Provider, we facilitate the onboarding of your WhatsApp Business Account (WABA) via Meta's Embedded Signup flow and manage your communications as configured in your dashboard.

3. Meta App Integration and Policies

Our Platform utilizes Meta APIs and integrates directly with the WhatsApp Business Platform. By using AutomateIt, you acknowledge and agree that:

  • You must comply with the WhatsApp Business Messaging Policy and WhatsApp Commerce Policy at all times.
  • You must follow the Meta Platform Terms and all guidelines regarding the use of Meta developer integrations.
  • You are solely responsible for ensuring your WhatsApp Business Account (WABA) is kept in good standing with Meta. We are not responsible for any limitations, suspensions, or bans imposed on your WABA or phone numbers by Meta.
  • You authorize our verified Tech Provider application (AutomateIt / Rockybits Technologies Ltd) to manage assets and access permissions (such as whatsapp_business_management and whatsapp_business_messaging) on your behalf to run the service.

4. Account Registration and Security

To use the Platform, you must register for an account. You agree to provide accurate, current, and complete business information during registration and keep it updated.

You are responsible for safeguarding your account credentials, including passwords, API keys, database URLs, and access tokens. You agree not to disclose your credentials to any third party. You must notify us immediately of any unauthorized use of your account or security breach.

5. Prohibited Conduct

You agree not to use the Platform to:

  • Send unsolicited messages, bulk spam, or engage in deceptive messaging practices.
  • Promote, sell, or advertise goods or services that violate the WhatsApp Commerce Policy (e.g., illegal drugs, tobacco, alcohol, weapons, gambling, adult products, or healthcare products without pre-approval).
  • Harass, abuse, threaten, or violate the rights of any individual or end customer.
  • Upload or transmit malware, viruses, or any code designed to disrupt the Platform or Meta's infrastructure.
  • Attempt to bypass, hack, or compromise the data isolation and security measures of our multi-tenant infrastructure.

6. Fees, Billing, and Subscriptions

AutomateIt is billed on a subscription basis (monthly or annually) according to the pricing tier selected during onboarding.

  • Billing cycle: Subscriptions are billed in advance at the start of each billing period.
  • Payment gateways: Payments are processed securely via Stripe or Paystack. We do not store your credit card information.
  • Cancellations: You can cancel your subscription at any time via your dashboard settings. Upon cancellation, you will retain access to the Platform until the end of your current billing period.
  • Refunds: All payments are non-refundable. We do not issue prorated refunds for partial subscription periods.

7. Data Privacy and Security

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, process, and secure business configurations, Client data, and End User conversations in compliance with the Nigeria Data Protection Regulation (NDPR) and Meta policies.

We implement industry-standard encryption (TLS 1.3 and AES-256) and multi-tenancy logical isolation to protect your data. You retain ownership of all conversational data and system prompts configured on your tenant.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Rockybits Technologies Ltd, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Platform.
  • Any outages, service interruptions, or API deprecations on Meta's (WhatsApp's) platform.
  • Account suspension or ban of your WABA or phone numbers by Meta due to violations of Meta policies.
  • Any unauthorized access, use, or alteration of your data or configurations by third parties.

9. Termination

We reserve the right to suspend or terminate your account and access to the Platform immediately, without prior notice or liability, if you breach these Terms or violate Meta's WhatsApp Policies.

Upon termination, your right to use the Platform ceases immediately. All tenant-specific configuration settings and access keys will be revoked, and data will be permanently deleted in accordance with our retention policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the **Federal Republic of Nigeria**, without regard to its conflict of law provisions.

Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in **Lagos State, Nigeria**.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice in your dashboard before any new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.

These terms of service are effective as of May 10, 2026. They supersede any prior agreements.
